Ed Reynolds Jr. Mr. Reynolds is Principal and President of The Reynolds Group, a multi-disciplined, multi-lingual environmental engineering, contracting, and consulting firm founded in 1989. He is experienced and available as an expert on matters related to environmental distress or contamination, assessment, remediation, construction, and related financial matters. Mr. Reynolds holds degrees from the University of Southern California, B.S. Civil Eng., 1981; University of Houston, M.S. Civil Eng., 1984; and Harvard University, MBA., 1986. He is an adjunct faculty member at the University of Southern California, School of Engineering, and a Member of its Board of Councilors. Mr. Reynolds is a California Registered Civil Engineer, responsible Managing Officer for The Reynolds Group's California Contractors License (A, B, Haz), a California Asbestos Consultant and a California Registered Environmental Assessor.

In his technical capacity, Mr. Reynolds approves or reviews most technical reports and work plans which the company produces. Mr. Reynolds has managed numerous portfolio site assessments where many properties (up to one hundred) are evaluated in a single client engagement. Significant technical experience includes complicated subsurface investigations and remediation. Subsurface investigations range from soil gas surveys for chlorinated compounds, to soil investigations, to installation of deep groundwater wells. Remediation has included excavation and disposal, vapor extraction, groundwater and pump and treat, and bioremediation of many different chemicals. Mr. Reynolds has obtained regulatory closures on more than 400 environmentally impaired properties. Mr. Reynolds leads the company in aggressively moving projects to closure while maintaining a good working relationship with the regulatory agencies. Mr. Reynolds is also responsible for pricing and executing contract work including tank removal and installation projects, remediation systems, and subsurface work.

Mr. Reynolds also cofounded TRG Biofilter, a company that specializes in manufacturing an air pollution control technology called biofiltration. Biofilters treat contaminated air biologically. Mr. Reynolds has co-hosted, with the University of Southern California, an annual international conference on biofiltration.

Mr. Reynolds served as a board investor proxy on a venture capital fund that invested in Mexican-American environmental venture opportunities.

Prior to co-founding The Reynolds Group, Mr. Reynolds was General Manager of Applied GeoSciences, Inc., an environmental consulting firm. His role was to administer the company's rapid growth. He was responsible for implementing projects and company controls, developing personnel policies and procedures, managing contracts and insurance, and assisting project managers with difficult projects. The company grew from 15 to 75 people during Mr. Reynolds tenure without outside financing. Prior experience also included ENR 500 Companies, Brown & Root and Bechtel Corporation in Mr. Reynolds early professional years.

In a unique government-private partnership, TRGs client developed a major regional retail center on a brownfield property in an unincorporated area of Los Angeles County, CA, that contained a former glass manufacturing facility and other former industrial uses. TRG provided forensic services during demolition of the property to identify environmental concerns associated with historic uses and to locate specific areas requiring assessment. During the course of work, TRG encountered and remediated arsenic and chromium-impacted kiln brick, volatile organic compounds, numerous underground storage tanks and clarifiers, pesticides, and PCBs. TRG conducted assessment and cleanup activities as the site was being developed. By coordinating assessment and cleanup work with the general contractor, TRG had minimal impact on the scheduling and timing of the project. TRG provided further value to the project by negotiating cleanup levels based upon potential health risk in future occupied areas with lesser standards applied to parking areas.

One attorney The Reynolds Group has worked with was instrumental in creating SB989, The Bona Fide Ground Tenant concept. SB989 allows real estate transactions under a lease to own concept to test the property and remediate the contamination. An interested buyer can enter into a lease to develop a contaminated property with an option to buy. The development can be advanced, the property can be developed, and the resulting cash flow can be used to pay for remediation. This law indemnifies the developer from the sellers contamination. One of the largest national suppliers of baked products to McDonalds Restaurants needed to assess and mitigate soil contaminated with petroleum hydrocarbons (hydraulic oil) inside of their leased Southern California production site. In addition, TRG was requested to provide asbestos related pre-demolition consulting advice. Approximately two years before its lease expired, Fresh Start Bakeries began the process of evaluating potential environmental impairment caused during its operation of an industrial bakery at the site. Fresh Start engaged The Reynolds Group because of our prudent approach to assessing and dealing with environmental liabilities. After performing a complete assessment, TRG quantified and budgeted the cost of remediation. To ensure there would be no issues with the landlord/property owner upon the expiration of it lease, Fresh Start Bakeries asked The Reynolds Group to proactively engage the regulatory agency, the County of Los Angeles Fire Department, to approve an expedited Remedial Action Plan. The Reynolds Group demolished the concrete floor and excavated approximately 400 tons of soil from the interior of the production building in confined conditions. Excavation was advanced until on-site laboratory analysis of the soils confirmed that levels of hydraulic oil met the cleanup levels pre-established by the Fire Department. In the end, Fresh Start Bakeries received a "No Further Action" letter with no restrictions on the sites future use. The Reynolds Group arranged for the safe transportation and disposal of the contaminated soils and restored the floor inside the building to its original condition. All of the work was completed under a tight timeline over a Thanksgiving Holiday. During decommissioning and demolition of the manufacturing equipment and tenant improvement, issues related to potential asbestos containing materials in building products and kilns arose. The Reynolds Group was engaged to assess the issues, provide solutions and engage and manage a contractor to abate the issues as required for Fresh Start Bakeries to move out of the premises with no residual liability.

A major New York Investment Bank was pursuing the portfolio acquisition of 30 properties in southern California from a defaulted savings and loan which had been taken over by the Federal Deposit Insurance Corporation (FDIC). Environmental due diligence was required on all the properties which had a variety of potential environmental issues ranging from asbestos, lead, metals, and volatile organic compounds (VOCs) in the soil and groundwater. One of the properties, located in Long Beach, CA, contained approximately 12 acres and multiple commercial buildings. TRG was able to complete Phase I Assessments, regulatory audits and remedial cost estimates for the property transactions in a short time frame. Personnel assessed and defined environmental concerns including past agricultural use of the property, potential solvent use, past existence of underground storage tanks, and a significant off-site source of contamination that allowed the Investment Bank to quantify and understand the risks of advancing their real estate deal. TRG assisted a property management company in the wrap up of a tenant lease in Beverly Hills. The former occupant operated a metal plating business in the leased space. As part of the wind down of the lease, the tenant was required to return the property to its original condition. The property manager had been working with another environmental consultant who had identified metals in the soil beneath the former plating operation. However, the property manager retained TRG to perform the cleanup of the property and obtain case closure from the Los Angeles County Fire Department HAZMAT Division.

Concentrations of contaminants such as chromium, copper, lead, nickel and zinc in the soil exceeded allowable limits and necessitated the physical excavation of the soils in order to clean up the site. Unfortunately, the impacted soils were beneath the building and below a shallow basement. Approximately 50 cubic yards of soil needed to be dug up, manifested and properly disposed of. TRG was able to mobilized specialized equipment to the site in order to excavate the contamination from the basement level and load it into bins for transport to an appropriate disposal facility. Confirmation sampling showed pockets of contamination still in place after the initial excavation, and additional spot excavation was performed. TRG reported on the excavation activities which confirmed the metals at the site are now below concentrations negotiated with the County Fire Department. Case closure is eminent.

The Reynolds Group (TRG) performed 32 Phase I Environmental Site Assessments and Priority Ranking Studies in the country of Mexico. The engagement required rapidly accessing critical environmental information, performing site inspections around the country, interviewing key personnel and providing an immediate priority ranking of potential environmental concerns. These concerns were identified at the 32 manufacturing plants that were involved in a highly confidential acquisition. The engagement dealt with heavy industrial manufacturing sites, some of which were two miles square in area. TRG was able to mobilize to ten different states in Mexico and rapidly access critical environmental information by performing site inspections and interviewing key personnel. With this information, TRG provided the client with frequent updates and finally a priority ranking of the 32 manufacturing plants. TRG coordinated with the fast-moving Fortune 500 client, conducting extensive research and interviews to acquire difficult to obtain information for a large number of sites. At the completion of the project, TRG completed a summary of the findings in an eyechart, a user-friendly format that highlighted the risks and environmental concerns at each site. As part of the redevelopment of downtown San Diego during the creation of the Petco Baseball Park, TRG was awarded a contract by the Centre City Development Corporation in 1999 for the removal of approximately 1,600 tons of metal-contaminated soils.

TRG was the low bidder for removal and disposal of lead contaminated soils in downtown San Diego. The work required significant coordination for traffic planning in this dense downtown area as trucks were immediately loaded and transported out. TRG performed the work for City Centre Development Corporation, a quasi-private/government developer charged with the revitalization of downtown San Diego.

The Reynolds Group was hired by a private property owner to remove a 500 gallon steel gasoline underground storage tank. The UST was found be partially filled with a cement slurry mixture that was later destroyed for scrap. Four soil samples were collected after the removal of the UST, two from beneath the former location and two from stockpiled soils. The results of the soil samples had shown low levels of TPHg, benzene, toluene, ethylbenzene, and xylenes (BTEX). The Reynolds Group was able to close out the site in less than six months because of the interaction between the regulator and owner. The Orange County Health Care Agency granted closure for the underground storage tank in March of 2010.

Santa Ana Unified School District was one of The Reynolds Group's original clients in 1989. Since 1989, The Reynolds Group has provided many different types of environmental services to the School District.

Two decades ago Santa Ana Unified was awarded USEPA grants to fully abate two schools of asbestos over the summer time. The work required completely gutting the schools at the end of the school year, removing the asbestos, replacing the fireproofing and re-constructing the schools before school began in the fall. The Reynolds Group was engaged to plan the work, write the specifcations, assist in bidding the work, plan the project, and provide 24/7 project oversight and air monitoring. This Regional Shopping Center lies in an area that is being considered for Superfund status because of its location relative to a regional groundwater contamination issue. The client has been designated as a potential Responsible Party (PRP). The site also lies near a major stream tributary and soil conditions are very rocky. The Reynolds Group was able to bring the client back into the good graces of the regulatory agency by negotiating a reasonable scope of work for additional site assessment. The Reynolds Group also performed a detailed review of adjacent potential cases that highlighted the possibility of off-site contamination. The investigation including installing "semi-permanent" soil vapor probes to a depth greater than 150 feet below ground surface and sampling them. Based on the results of the sampling The Reynolds Group prepared an expert's consulting report that detailed why the client should be considered at most a "de minimis" contributor to any regional groundwater issue. TRG noted that there is a neighboring large contributor to the contamination that seems to have caused most of the problems. The Reynolds Group is currently working to minimize the clients PRP liability and is working closely with legal counsel to craft strategies regarding coordinating work with the off-site PRP.

The Reynolds Group performed an informal Phase I Environmental Site Assessment and Building Inspection at an industrial facility in a neighborhood near Tijuana, Mexico. The site previously operated a fiberglass operation for approximately a decade and a half. The Ministry of Environmental Protection of the State of Baja California provided a closure letter that indicated cleanliness of the plant.
