This site had lain fallow for a decade. It had contained a mechanical manufacturing business, a dry cleaner and a gas station at one time. TRG worked with the clients counsel to enable the client to sell the property to a new owner for redevelopment. In order to facilitate the sale, TRG identified the environmental liabilities associated with the past uses of the property, negotiated with the Voluntary Oversight Program at the Los Angeles Regional Water Quality Control Board to separate soil and groundwater contamination into two issues, and addressed the soil contamination based on health risk standards. The Reynolds Group obtained a no further action letter for the soils issue which was key to allowing the real estate transaction to proceed. The seller provided a discount on the market value of the property to the buyer to accept the risk and liability of future costs associated with further groundwater assessment and remediation. Both parties were ultimately satisfied. The client was able to sell the property for cash and transfer liability to the seller. The buyer was able to buy the property at a risk appropriate discount for future development. The City of Long Beach benefited by having a formerly blighted property developed as a major grocery center.

The City of Santa Monica has had some of their drinking water wells shut down due to contamination. TRG's Santa Monica based client required multiple aspects of environmental legal services. In one aspect, TRG's client was being pursued by the U.S. EPA for having disposed de minimis wastes in a landfill that subsequently became designated as a Superfund site. The U. S. EPA sought reimbursement for large costs associated with the de minimus waste. TRG prepared technical historical documentation and the environmental attorney was able to resolve the matter in a de minimus manner. Concurrently, the City of Santa Monica threatened action against TRG's client for potential diminution of value due to a contamination emanating from its clients site onto the City of Santa Monica's property. Working with the environmental attorney The Reynolds Groups team was able to placate the City of Santa Monica's concerns.

SB989 Bona Fide Ground Tenant (7564.1)

One attorney The Reynolds Group has worked with was instrumental in creating SB989, The Bona Fide Ground Tenant concept. SB989 allows real estate transactions under a lease to own concept to test the property and remediate the contamination. An interested buyer can enter into a lease to develop a contaminated property with an option to buy. The development can be advanced, the property can be developed, and the resulting cash flow can be used to pay for remediation. This law indemnifies the developer from the sellers contamination. The Reynolds Group teamed with this environmental attorney to evaluate SB989 for a project in the Old Town Tustin redevelopment area and facilitated the real estate transaction for a retired couple who needed the property sold for retirement liquidity.

In addition, The Reynolds Group has partnered to sponsor a White Paper for a joint DTSC/EPA Region 9 Solar Energy on Landfills and Contaminated Sites Initiative. The Reynolds Group remains close to the cutting edge of legislative activity in the Brownfield area that can match financing, credits or favorable Brownfield laws towards completing assessment and remediation.

The Reynolds Group has had another relationship with a real estate attorney whose clients are real estate trusts and mid-size financial institutions since 1989. TRG was able to obtain regulatory closure for a case in Cabot Road Road approaching Laguna Hills for a private real estate owner. Most recently, The Reynolds Group was called in to provide transactional advice, tenant audits, and tenant-owner negotiations, and Phase II environmental services that that advance client protection of environmental liability.

The Reynolds Group is working with an environmental team for a proprietary client on a matter that involves the Orange County Water District and the Santa Ana Regional Water Quality Control Board in Central Orange County. A number of consultants have worked on the project over two decades. The Reynolds Group was the first one to propose linking a number of sites together to look a causation of contamination and reasonable remedies including buyout of the liability. The Reynolds Groups reasonable and measured approach to the project allows its client to satisfy regulatory requirements, plan cash flow, and move toward reasonable, less surprising legal and financial future outcomes.
